These terms govern your use of this website and the services provided by ABCode Ltd ("ABCode", "we", "us"). By using this website or engaging our services, you agree to these terms. Please read them carefully.
1. About us
ABCode Ltd is a WordPress development studio based in Derbyshire, United Kingdom, trading as ABCode. ABCode Ltd is registered in England and Wales (company number 15834873). 2. Our services
We provide WordPress website design and development, fixes and repairs, maintenance, plugin development, performance optimisation, conversion rate optimisation and related services. The specific scope, deliverables, timescales and price for any project are agreed in writing in a separate proposal or quotation before work begins. Where those project terms conflict with these general terms, the project terms take precedence.
3. Quotations and payment
- Quotations are valid for 30 days unless stated otherwise.
- Project work is typically quoted as a fixed price; ongoing work may be billed monthly.
- We may request a deposit before starting work, with the balance due on completion or on an agreed schedule.
- Invoices are payable within the period stated on the invoice. We reserve the right to pause work on overdue accounts.
4. Your responsibilities
To deliver your project on time, we rely on you to:
- provide content, assets, access and feedback in a timely manner;
- ensure you own or are licensed to use any material you supply to us;
- keep account credentials and any provided access secure.
Delays in providing what we need may affect agreed timescales and are not the responsibility of ABCode.
5. Intellectual property
On full payment for a project, ownership of the custom code and design we produce specifically for you transfers to you, unless agreed otherwise in writing. This does not include:
- third-party software, plugins, themes, fonts or stock media, which remain subject to their own licences;
- our own pre-existing tools, libraries and know-how, which we license to you for use within your project but retain ownership of.
We may reference completed work and display it in our portfolio unless you ask us not to in writing.
6. Third-party services
Your website may rely on third-party services, plugins or hosting. We are not responsible for the availability, performance or actions of third parties, though we will always act in good faith to help resolve issues that arise.
7. Warranties and liability
We take pride in our work and will correct faults in our code reported within 30 days of delivery at no charge. Beyond this, services are provided on an "as is" basis to the fullest extent permitted by law.
Nothing in these terms limits our liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. Subject to that, our total liability to you for any claim is limited to the fees paid to us for the project giving rise to the claim. We are not liable for indirect or consequential losses, loss of profit, data or goodwill.
8. Cancellation
Either party may end a project or ongoing arrangement with reasonable written notice. Where a project is cancelled part-way, you agree to pay for work completed up to the cancellation date. Monthly maintenance and support plans are rolling and may be cancelled with 30 days' notice unless agreed otherwise.
9. Governing law
These terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to these terms
We may update these terms from time to time. The version published on this page at the time you engage our services is the version that applies.
